Zense Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Zense website, devices, software, applications, reservations, preorders, purchases, subscriptions, communications, and related services collectively referred to as the “Services.”
“Zense,” “we,” “us,” and “our” refer to C&O Group LLC DBA Zense. “You” and “your” refer to any visitor, customer, account holder, reservation holder, purchaser, or other user of the Services.
By accessing the Services, creating an account, submitting information, placing a reservation or order, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must have the legal capacity to enter into a binding agreement.
If you use the Services on behalf of another person, organization, or business, you represent that you have authority to bind that person or entity.
Parents and legal guardians are responsible for determining whether Zense products and services are appropriate for minors under their supervision.
2. About Zense
Zense is developing an attention-first mobile device and software ecosystem designed to preserve essential smartphone utility while reducing unnecessary digital distraction.
Zense is an evolving hardware and software platform. Products, services, applications, interfaces, specifications, integrations, and features may continue to develop before and after commercial release.
Our objective is to deliver the strongest practical version of the Zense experience while accounting for safety, security, quality, certification, manufacturing, technical feasibility, customer feedback, and long-term product development.
3. Product Development and Changes
Zense products and services may be modified during development, testing, certification, manufacturing, launch, or continued operation.
To the extent permitted by law, Zense may refine, modify, replace, delay, limit, suspend, discontinue, or decide not to release any:
- Hardware feature
- Software feature
- Application
- Integration
- Accessory
- Service
- Subscription
- Interface
- Specification
- Component
- Material
- Color
- Finish
- Design element
- Packaging element
- Connectivity feature
- Marketplace offering
- Planned or announced functionality
Changes may be made for reasons including:
- Safety or reliability
- Product quality
- Security or privacy
- Certification or regulatory requirements
- Manufacturing feasibility
- Supplier or component availability
- Software compatibility
- Network compatibility
- Performance or battery life
- Usability
- Customer feedback
- Technical limitations
- Commercial viability
- Continued product improvement
Zense may substitute components, suppliers, technical implementations, materials, or manufacturing methods with alternatives intended to provide substantially similar functionality or support the intended product experience.
Nothing in this section authorizes Zense to knowingly misrepresent the fundamental nature of a product or disregard rights that cannot legally be waived.
4. Website Content and Product Representations
Website content may include:
- Concept images
- Computer-generated renderings
- Prototypes
- Pre-production samples
- Design studies
- Mockups
- Animations
- Software previews
- Interface demonstrations
- Preliminary specifications
- Developmental photographs or videos
Such materials may be illustrative and may not fully represent the final production product.
The final product may differ in areas including:
- Color and finish
- Dimensions and weight
- Materials and texture
- Camera, button, sensor, or port placement
- Packaging and accessories
- Software appearance
- Menus and navigation
- Application availability
- Performance
- Battery behavior
- Connectivity
- Feature availability
- Third-party integrations
Colors and finishes may also appear different based on photography, lighting, rendering, screen calibration, or the device used to view the website.
Unless expressly identified as final, confirmed production specifications, website materials should not be interpreted as a guarantee that every pictured or described detail will appear in the final product.
5. Beta, Preview, Planned, and Future Features
Some products, features, applications, services, or integrations may be described as:

These descriptions mean that the feature may remain under development and may be changed, limited, delayed, restricted, discontinued, or never released.
A beta, preview, planned, or future feature may:
- Be unavailable at initial delivery
- Be released after the product ships
- Require a future software update
- Be limited to selected users
- Be restricted by region, carrier, account type, age, or device
- Require a subscription or additional payment
- Operate differently from demonstrations
- Contain errors or interruptions
- Be removed during testing
- Never enter production or commercial release
Statements concerning future products, functions, release dates, integrations, or capabilities reflect Zense’s intentions or expectations at the time stated. They are not guarantees unless expressly confirmed in writing as part of the purchased product.
Customers should base purchase decisions on the features expressly confirmed as included at the time of purchase, rather than solely on potential future functionality.
6. Zense Marketplace and Application Availability
Zense may make selected first-party and third-party applications available through Zense Marketplace or another approved distribution method.
Application availability is not guaranteed.
Applications may be added, removed, restricted, suspended, replaced, delayed, or made unavailable because of:
- Developer decisions
- Licensing restrictions
- Compatibility
- Security or privacy concerns
- Regulatory requirements
- Regional restrictions
- Technical limitations
- Marketplace policies
- Changes made by third-party providers
- Changes to the Zense platform
References to applications or categories such as messaging, banking, navigation, authentication, transportation, music, WhatsApp, Signal, or other third-party services do not guarantee permanent availability, compatibility, affiliation, or endorsement.
All third-party trademarks belong to their respective owners.
7. Third-Party Services
The Services may interact with third-party applications, websites, carriers, payment processors, banks, cloud providers, messaging platforms, mapping providers, authentication services, transportation services, and other providers.
Zense does not control third-party services and is not responsible for their:
- Availability
- Content
- Pricing
- Security
- Privacy practices
- Performance
- Policies
- Compatibility
- Modification
- Suspension
- Discontinuation
Your use of third-party services may be subject to separate terms, fees, privacy policies, and eligibility requirements.
8. Compatibility and Connectivity
Carrier, SIM, eSIM, VoLTE, cellular, Wi-Fi, Bluetooth, GPS, messaging, payment, banking, and other functionality may depend on:
- Country or region
- Carrier support
- Local infrastructure
- Network bands
- Service plans
- Third-party compatibility
- Software version
- Certification status
- Regulatory approval
You are responsible for determining whether the product is suitable for your intended country, network, carrier, and use.
Zense does not guarantee compatibility with every carrier, network, application, accessory, or third-party service.
9. Accounts and Account Security
Certain Services may require a Zense account.
You agree to:
- Provide accurate and current information
- Maintain the security of your credentials
- Promptly update outdated information
- Notify Zense of suspected unauthorized access
You are responsible for activity conducted through your account unless caused by Zense’s failure to use legally required or reasonable safeguards.
Zense may suspend or restrict accounts when reasonably necessary to protect users, prevent fraud, maintain security, enforce these Terms, or comply with law.
10. Reservations and Preorders
A reservation or preorder is for a product expected to be delivered at a later date.
A reservation may require an initial deposit that is credited toward the total purchase price.
Reservations and preorders are also governed by the Zense Reservation and Cancellation Policy, which is incorporated into these Terms.
By placing a reservation, you acknowledge that:
- The product may still be under development
- Production and delivery estimates may change
- The final product may differ from developmental materials
- Planned or beta features may not be available at delivery
- Certain features may be modified, delayed, or not released
- The remaining balance may be collected before production in accordance with the payment terms presented at checkout
- Cancellation and refund rights are governed by the Reservation and Cancellation Policy and applicable law
11. Reservation Deposits and Remaining Balances
The reservation deposit amount will be displayed during the purchase process.
The deposit:
- Secures a reservation or production allocation
- Is credited toward the total purchase price
- Is not an additional fee
- May be calculated per device reserved
By completing a reservation, you authorize Zense and its payment providers to collect the remaining balance in accordance with the payment authorization and terms presented during checkout.
The timing of the remaining charge may depend on the applicable production schedule.
Zense does not guarantee that a separate reminder will be sent before the remaining balance is collected unless expressly stated otherwise.
You are responsible for maintaining a valid payment method and accurate billing information.
12. Pricing
Prices, promotions, reservation amounts, configurations, and availability may change before an order is placed.
After an order or reservation is accepted, the applicable product price will generally be the price presented and accepted during checkout, subject to correction of obvious pricing, system, or description errors.
Prices may not include:
- Taxes
- Shipping fees
- Customs duties
- Import charges
- Brokerage fees
- Carrier charges
- Subscriptions
- Third-party service fees
Additional charges may apply as disclosed during checkout or as required by the destination jurisdiction.
13. Payment Authorization
By providing payment information, you represent that you are authorized to use the selected payment method.
You authorize Zense and its payment providers to collect:
- The initial amount shown at checkout
- Any remaining balance authorized under the reservation or payment arrangement
- Applicable taxes
- Shipping charges
- Other clearly disclosed fees
Payment processing may be performed by third-party processors and may be subject to their terms.
Zense may cancel, delay, or suspend an order if payment is declined, reversed, disputed, unauthorized, fraudulent, or otherwise unavailable.
14. Order Acceptance
An order confirmation does not necessarily mean that an order has been finally accepted or entered production.
Zense may decline, limit, hold, or cancel orders because of:
- Product availability
- Payment failure
- Pricing or website errors
- Suspected fraud
- Purchase-limit violations
- Regulatory restrictions
- Shipping limitations
- Misuse of the Services
- Inability to lawfully or reasonably fulfill the order
If Zense cancels an order that cannot be fulfilled, amounts paid for the unfulfilled product will be handled in accordance with applicable law and the applicable policy.
15. Production, Shipping, and Delivery Estimates
Production, shipping, and delivery dates are estimates unless expressly identified as guaranteed.
Dates may change because of:
- Product development
- Component availability
- Manufacturing schedules
- Quality-control testing
- Certification
- Regulatory review
- Customs processing
- Transportation delays
- Carrier disruptions
- Supplier failures
- Events outside Zense’s reasonable control
Zense may notify customers when there is a material change to an expected delivery timeline.
A delay does not create any cancellation or refund right beyond those provided in the applicable Reservation and Cancellation Policy or required by applicable law.
Where a notice, consent request, cancellation opportunity, refund, or other remedy is legally required, Zense will comply with the applicable requirement.
16. Product Availability
Products, configurations, applications, colors, accessories, services, and features may be limited by:
- Country
- Region
- Production batch
- Quantity
- Time period
- Carrier
- Certification
- Account type
- Other eligibility criteria
Zense may impose purchase limits and may modify or discontinue offerings.
Availability shown on the website is not guaranteed until the order has been accepted and fulfilled.
17. Software, Firmware, and Updates
Zense products may receive software, firmware, security, compatibility, feature, and performance updates.
Updates may:
- Add features
- Remove features
- Modify interfaces
- Change application availability
- Improve security or stability
- Correct errors
- Change system behavior
- Alter compatibility
- Be required to continue using certain Services
You may be required to install updates to maintain security, functionality, compatibility, or access.
Zense does not guarantee that every device will receive every update indefinitely.
18. Subscriptions and Paid Services
Some Zense features or services may require a subscription or additional payment.
Before enrollment, Zense will disclose applicable terms such as:
- Price
- Billing frequency
- Included features
- Renewal terms
- Trial terms
- Cancellation method
Subscriptions may also be governed by supplemental terms presented during enrollment.
19. Information You Provide
When you use the Services, you may provide information including:
- Name
- Email address
- Telephone number
- Billing information
- Shipping information
- Account credentials
- Device preferences
- Survey responses
- Waitlist information
- Reservation details
- Customer-service communications
- Feedback
- Product interests
- Marketing preferences
Zense may collect, process, store, and use this information as described in the Zense Privacy Policy and any notice presented when the information is collected.
Submitting information does not transfer ownership of your personal information to Zense.
20. Transactional Communications
By creating an account, submitting a reservation, placing an order, or otherwise conducting a transaction, you agree that Zense may send service-related and transactional communications concerning:
- Account security
- Order status
- Payment status
- Production status
- Shipping
- Delivery
- Product safety
- Software updates
- Policy changes
- Customer support
- Other information reasonably related to the transaction or Services
Transactional communications are not necessarily marketing communications and may continue where necessary to administer an active order, account, product, or legal obligation.
21. Marketing Communications
Subject to applicable law and the preferences or consent collected from you, Zense may use information you provide and information collected through the Services to:
- Personalize communications
- Understand product interest
- Measure marketing performance
- Develop audiences
- Send product announcements
- Send launch updates
- Send offers or promotions
- Recommend products or services
- Conduct surveys
- Improve advertising
- Display relevant advertising
- Measure engagement
Email marketing communications will include an available method to unsubscribe where required.
Marketing text messages, automated calls, or similar communications will be sent only under the consent and disclosure requirements applicable to that communication channel.
Consent to receive marketing communications is not a condition of purchasing a product unless expressly permitted by law.
Withdrawing marketing consent does not prevent Zense from sending necessary transactional or legally required communications.
22. Cookies, Analytics, and Advertising Technologies
Zense and its service providers may use cookies, pixels, software development kits, local storage, analytics tools, advertising identifiers, and similar technologies to:
- Operate the website
- Remember preferences
- Maintain security
- Prevent fraud
- Measure traffic
- Understand customer behavior
- Attribute sales or reservations
- Improve products and marketing

- Deliver or measure advertising

Where required, Zense will provide relevant privacy choices or consent mechanisms.

Depending on jurisdiction and legal applicability, users may have rights relating to:

Zense may investigate violations and take appropriate action.
25. Intellectual Property
The Services and their content, including:
- Software
- Product designs
- Interfaces
- Branding
- Text
- Images
- Videos
- Graphics
- Logos
- Icons
- Trademarks
- Documentation
are owned by or licensed to Zense and are protected by applicable intellectual-property laws.
Zense grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.
No ownership rights are transferred except ownership of a delivered physical product after full payment, subject to embedded software licenses and applicable restrictions.
26. Feedback
If you submit ideas, suggestions, concepts, designs, improvements, or other feedback, you grant Zense a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, modify, reproduce, distribute, commercialize, and otherwise exploit that feedback without compensation or obligation.
Do not submit confidential information through general feedback channels unless Zense has agreed in writing to receive it confidentially.
27. Product Reviews and User Content
If you submit reviews, photographs, videos, comments, testimonials, or other content, you represent that:
- You own or control the necessary rights
- The content is accurate to the best of your knowledge
- The content does not violate law or another person’s rights
You grant Zense a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, adapt, publish, distribute, and promote that content in connection with the business and Services.
Zense may remove content that violates these Terms or is misleading, unlawful, abusive, fraudulent, or inappropriate.
28. Promotions and Referral Programs
Promotions, giveaways, contests, referral programs, discounts, and special offers may be governed by additional rules.
Zense may modify or discontinue such programs, investigate suspected abuse, revoke improperly obtained benefits, and enforce eligibility or quantity limits.
29. Warranty
Any express product warranty will be described in the Zense Warranty Policy or product documentation.
Except for express warranties and rights that cannot lawfully be excluded, the Services are provided on an “as available” basis.
To the fullest extent permitted by law, Zense disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Some jurisdictions do not permit certain exclusions, so portions of this section may not apply.
30. No Medical or Professional Advice
Zense is intended to support more intentional technology use.
Unless expressly stated otherwise, Zense is not:
- A medical device
- A mental-health treatment
- A diagnostic service
- An emergency service
- A substitute for professional advice
Do not rely on a Zense device as the sole means of emergency communication.
31. Limitation of Liability
To the fullest extent permitted by law, Zense and its affiliates, directors, officers, employees, contractors, suppliers, and licensors will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, including loss of:
- Data
- Profit
- Revenue
- Business opportunity
- Goodwill
- Use
To the fullest extent permitted by law, Zense’s total liability arising from a product, transaction, or Service will not exceed the amount paid to Zense for the specific product or Service giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited.
32. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Zense and its affiliates from claims, liabilities, damages, and reasonable expenses arising from:
- Your unlawful use of the Services
- Your material violation of these Terms
- Your infringement of another person’s rights
- Your unauthorized modification or misuse of a Zense product
This provision does not apply to the extent a claim results from Zense’s unlawful conduct.
33. Suspension and Termination
Zense may suspend or terminate access to the Services if you:
- Violate these Terms
- Fail to pay amounts due
- Create security or legal risk
- Engage in fraud
- Abuse the Services
- Misuse a product or account
Provisions that should reasonably survive termination will remain in effect, including payment obligations, intellectual-property terms, disclaimers, liability limitations, and dispute provisions.
34. Changes to the Services
Zense may modify, suspend, restrict, replace, or discontinue all or part of the Services.
Where reasonably practicable, Zense may provide notice of material changes affecting active paid Services. Urgent legal, security, technical, or operational changes may be implemented without advance notice.
35. Changes to These Terms
Zense may update these Terms.
Updated Terms will be posted with a revised effective date. Changes will apply prospectively to the extent required by law.
Terms governing an existing completed transaction will generally be those accepted when the transaction was made, except where changes are required by law or mutually agreed upon.
36. Force Majeure
Zense will not be responsible for delays or failures caused by events beyond its reasonable control, including:
- Natural disasters
- Epidemics
- War
- Terrorism
- Labor disruptions
- Supplier failures
- Component shortages
- Transportation interruptions
- Government action
- Regulatory delay
- Cyberattacks
- Network outages
- Utility failures
This section does not eliminate rights or obligations that cannot legally be waived.
37. Governing Law
These Terms are governed by the laws of [State], without regard to conflict-of-law rules, except where mandatory consumer law requires otherwise.
38. Informal Dispute Resolution

Any arbitration agreement, jury-trial waiver, class-action waiver, or mandatory venue provision should be added only after review by qualified legal counsel.
39. Severability
If any provision is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.
40. No Waiver
Zense’s failure to enforce a provision does not waive the right to enforce that provision later.
41. Assignment
You may not assign these Terms without Zense’s written permission.
Zense may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or transfer of the applicable business, subject to applicable law.
42. Entire Agreement
These Terms, together with the:
- Privacy Policy
- Cookie Policy
- Reservation and Cancellation Policy
- Return Policy
- Warranty Policy
- Checkout terms
- Product-specific terms
constitute the agreement between you and Zense concerning the Services.
If specific transaction terms conflict with these general Terms, the more specific terms will control for that transaction.
